NSO spread tax 1099-misc - Intent to Earn Money

I exercised some stock options this year. I have not sold any of the stock. I received a 1099-MISC for the difference between the price at which I bought the stock and the FMV at the time of purchase.

Does the exercise of stock options involve an "intent to earn money"?
