The value of the shares is taxable to you, possibly as wages.  You may want to ask the company how they are structuring the transfer of shares to you.

As was mentioned, you question is beyond a tax question.  However, most states require a registration an LLC if business is physically operated in that state.   That means if you are solely physically working in New Mexico, yes, in most cases that is likely the only state you need to register the business.   But if you (or your employees) are working in other states, those states may require a registration.    But the laws vary from state to state, so you'll want to look into each state's rules and/or consult a business lawyer.

What counts is how your wife is covered, not who covers her.  If she is covered by an HDHP that is HSA-qualified, and she has no other coverage, then she can contribute to an HSA in her name.  If the HDHP is family coverage, then her contribution limit is $8300  $8550 for 2025, plus $1000 if she is over age 55.
You can’t open the HSA but she can since it would be her HSA. She can actually contribute the family plan limit of $8,550 for 2025.

Did you e-file your tax return and was it accepted? Only the IRS and your State control when and if a Federal or State tax refund is Approved and Issued.   You complete your tax return by finishing all 3 Steps in the File section. In Step 3, to e-file your tax return, you must click on the large button labeled "Transmit my returns now".   After completing the File section and e-filing your tax return you will receive two emails from TurboTax. The first email when your tax return was transmitted and the second email when the tax return has either been accepted or rejected.   If you e-filed your 2024 tax return using the TurboTax online editions there will be an Electronic Postmark Report which will have the date/time the tax return was e-filed and the date it was accepted by the IRS, if accepted.  You will need to use Print Center and the option for all worksheets.   To access your current or prior year online tax returns sign onto the TurboTax website with the User ID you used to create the account - https://myturbotax.intuit.com/   When you sign onto your online account and land on the Tax Home web page, scroll down and click on Add a state.  This will take you back to the 2024 online tax return. Click on Tax Tools on the left side of the online program screen.  Then click on Print Center.  Then click on Print, save or preview this year's return.  Choose the option Include government and TurboTax worksheets   If you used the desktop CD/Download editions installed on your computer, the only copy of your tax data file and any PDF's will be on the computer where the return was created.  TurboTax does not store online any returns completed using the desktop editions.

No, the non-taxable Social Security is not added in. The only additions to AGI are the items that I listed above - foreign earned income and income from Puerto Rico and U.S. territories. For most people, MAGI for the deduction for seniors will be the same as AGI.
is the non taxable social security an additional add on to the 2025 senior deduct magi calc?
The deduction for seniors in the new tax law starts in 2025. It does not apply to 2024. See my reply to your other question about MAGI for 2025.
For the deduction for seniors in the new tax law, MAGI is Adjusted Gross Income (AGI), Form 1040 line 11, plus the Foreign Earned Income Exclusion and excluded income from sources in Puerto Rico, Gua... See more...
For the deduction for seniors in the new tax law, MAGI is Adjusted Gross Income (AGI), Form 1040 line 11, plus the Foreign Earned Income Exclusion and excluded income from sources in Puerto Rico, Guam, American Samoa, and the Northern Mariana Islands. So, to answer the question in your other post, the taxable portion of Social Security benefits is included, since it is included in AGI.

TurboTax provides do-it-yourself tax software.  TurboTax guarantees the calculations done by its software.   The information entered into that software is data entered by you, the user.   TurboTax cannot and does not check that information against any outside sources, so TT cannot know if you entered your information completely or correctly.   It is up to you to enter all of your information correctly and completely, and to check your tax return before you file it.  If you forget to enter some income, or enter it incorrectly, enter it in the wrong place, etc. then you may end up owing additional tax to the IRS and/or state.  TurboTax does not pay the additional tax you owe.   If TurboTax’s calculations were incorrect, and you owe penalties and/or interest, then TT will pay the penalties and interest.  The tax due is always owed by you, and must be paid by you.   If you need to enter a claim for the accuracy guarantee:   https://ttlc.intuit.com/turbotax-support/en-us/help-article/intuit-account-billing/submit-claim-turb...

I suggest you review the worksheet contained in the 1040 instructions on page 32, Then if you have further questions post then in this thread so we can follow the conversation. there is also a similar worksheet in Turbotax.
