Generally, you do not if the entity has no income and no expenditures.

Except as provided below, every domestic partnership must file Form 1065, unless it neither receives income nor incurs any expenditures treated as deductions or credits for federal income tax purposes.

You might want to file if only for the sake of continuity. Further, you might want to seek an in-person consultation with a tax professional with experience in federal and state income tax returns for entities (as well as other required filings).
