S-Corp

My CA S-Corp closed on 01/25/2025 and was domesticated in VA on 01/25/2025. The last earned income was in December 2024 for CA. I filed Form 8822, and the S-Corp was registered in the state of VA on 01/26/2025.

For CA, 2024 should be considered the final return.

Now I am confused about which address to use on the CA return. I have entered the CA entity number at the top of Form 100-S. Should I use the CA address on the 100-S and leave the VA address for the 1120-S? I tried to changes address on 100-S keep CA address but  did not allow me to do it.

S-Corp

You should use the address where you want to receive any mail associated with the tax return. That is the primary purpose of the address, to give the taxing authority an address to contact you if they need to do that.

Thanks, my question was about 100-S CA return, if I leave new address (mailing and business address ) on 1120-S for federal, those automatically go on 100-S, right.

On 100-S I should enter entity number of CA and mark as final return but new business address  and mailing address are not from CA like last year. Please help me what can I do?

You need to use the Virginia address on the 100-S as well.  California won't be able to contact you at the California address.

Thanks a lot for your help, 

if I terminated my CA S-Corp on 01/29/2025 can I ignore $800 Minimum tax of CA and file my S-Corp CA side as FINAL return?

If your S-Corp was active until 01/29/25, then you have to pay the franchise tax of $800 for 2025.

 

The Franchise Board will only waive the tax for 2025 if your S-Corp

  • Did not conduct any business in California during the tax year, and
  • The taxable year was 15 days or fewer.
