Qualifying or disqualifying disposition of ESPP?

Hello,

I held some ESPP shares < 2 years after the grant (enrollment) date and sold it > 1 year from purchase (acquired).  Is this a qualifying or disqualifying disposition? My case does not fit into either one of the definitions on my 3299. Please help!

My 3299 says:

Qualifying if you hold the shares for > 2 years from grant AND > 1 year form purchase.

Disqualifying if you hold the shares for < 2 years from grant (enrollment) OR < 1 year from purchase.

Qualifying or disqualifying disposition of ESPP?

It's a disqualifying disposition. If you sold the stock within two years after the offering date OR one year or less from the exercise (purchase date).

See Employee Stock Purchase Plans. Situation 2 applies to you.
