1099B/3922

I sold some of my company stock acquired through ESPP last year. I got both the 1099B from the broker and form 3922. As I’m adjusting my cost basis box 1.a on the 1099B shows 11.124 shares. However, form 3922 box 6 shows 11.120 as the number of shares transferred. As result I got an error. I double checked and everything was entered correctly. Should I make both number match since 11.124 was the actual number of shares sold? In addition to that there was an item listed as w2 disposition and it states it should be listed on a the w2 but I couldn’t find that. Should this be ignored? Please help, thank you.

You should use the shares reported on your Form 1099-B (11.124) because that is the official information reported to the IRS.

Your employer typically calculates the discount and adds it to your total wages in Box 1. They sometimes will list it in Box 14. If you cannot find an item labeled ESPP or Disqualifying Disposition on your W-2, check a final paystub to see if you can find it there.

It is important to determine your proper cost basis so that you are not double taxed.

How to enter this in TurboTax:

  1. When inputting your Form 1099-B in TurboTax, ensure you select Yes, when asked, "Do these sales include any employee stock?"
  2. If you do not have a lot of entries to make, select Enter one by one
  3. In the Review this sale section, ensure you select ESPP from the drop down menu next to, "What type of investment did you sell?"
  4. Enter the 1099-B information exactly as it appears and check the box, "The cost basis is incorrect or mission on my 1099-B", then Continue
  5. On the next screen, you will reach, "Adjust your cost basis to ensure your best outcome"
  6. Select whether you found your basis or need help, then Continue
  7. TurboTax will next ask if it is related to an employer that has an existing W-2 on this return, or not, as well as the number of shares sold
  8. On the, "Let's enter your ESPP sale details", you will be able to use your Form 3922 data to finalize the math
