I want to dissolve a LLC that is registered in the State of alabama but has done business in California.
my goal is to dissolve the company so I'm no longer attached to California for taxes once I sell the assets in the future.
several years ago I sold my assets in California and put the monies in a 1031; which then I used the 1031 monies to buy assets in Alabama. every year I have to file California taxes; I don't pay anything; just for the state of California to have a visual on my assets. once I sell them in the future I will have to pay taxes.
I want to either transfer my assets to another company or sell at market value. and dissolve the LLC that is still associated with California. I don't want the assets to be transferred to me personally. I want the assets to go from business to Business. How do I go about doing this?

I would expect that creating a new entity would be necessary for your purposes but whether that would be another LLC is a matter you should discuss with counsel.
