My company pays consulting fees to the Canadian company and the service is performed in Canada.

They send me W-8ben-e form filled out and so what should I do with it?

it seems that we don't file W8 form to IRS and keep it as a record. is it correct?

An is it okay to pay them without withholding taxes for now?

Is there any amount of limit?

Just file the W8-BEN. You are not required to withhold canadian taxes. But you may be required to withhold U.S. Taxes. Without knowing your business structure (S-Corp? C-Corp? Something else?) it's impossible to make the call on this. You may want to consult a professional in your state - especially if your state taxes personal income.
