Closing LLC Tax Question

Hello

 

In 2019 I opened an LLC via a registered agent in NM. I had no income in 2019, 2020, 2021 and closed the LLC in 2021. I had the registered agent in NM submit articles of dissolution in 2022.

 

Since our residence was in AZ and we are a married couple we filed taxes in AZ (Not NM). But it was all zero income. I checked here and since we are married and both states are common law states. So we filed in AZ for the business and for personal.

 

Now that we are closed I am unsure if I owe NM anything. I am reading that since it is an LLC  I don't have to submit the tax forms to get a tax release. That this is just for Corporations.

 

I need your help verifying this.

 

I also never paid Franchise taxes. I have not been able to get anyone in NM state dept to tell me if I should pay anything to fully close the LLC with them

You most likely need to file Articles of Dissolution with the New Mexico Secretary of State.

I filed and got the articles of dissolution already. DO I need to file for tax clearance?

A couple follow-up questions:

  • I just want to confirm that the LLC never started business; no activity at all?
  • Is the LLC a multi-member LLC or a single member LLC?
