Here are my thoughts:

  1. There is really too much going on here to address something like this on a forum
  2. Unless you either paid actual cash for the shares OR were issued a 1099-MISC as income, since you were not an employee, you have "0" basis.  Your basis has nothing to do with any expected IPO pricing.
  3. Since this appears to be a liquidating distribution, you will not receive any 1099-B.  You will only receive the 1099-DIV.
  4. Based on the limited facts, my take on this would be all is reported as capital gain with a zero basis.
