NQSO Withholding Question
I bought and sold all my companies NQSOs in 2022 when the company was acquired that I had vested. I looked at my companies W2 and box 12 V lists the total compensation amount of all the exercised stock options correctly. However, for sure, my W2 Box 1 wages did not add that Box 12 V compensation or reflect the taxes paid on these options.
I did receive a 1099-b from Morgan Stanley where the options were serviced, but it clearly does not reflect these 4 options blocks traded above, only other NQSOs I have that vested later in 2022 and did not exercise. When I look at the actual options trades under morgan stanley stock connect website it lists all the information of the 4 lots of vested NQSO options I bought and sold them the same day. Taxes were paid on them, US federal, Social security medicare, state and local taxes on each of the trades.
I have calls into both Morgan Stanley and my company on who is responsible for reporting and who took the taxes out. I have not received a reply yet from either yet. Morgan Stanley lists the taxes taken taking out on the trades but what makes me think my company was responsible for reporting is they also took out social security, medicare and local taxes too and I don't think a 1099-B has a way to account or list those taxes.
I put those 4 NQSO trades in a made up 1099-b based on the each trade and just put in the federal and state taxes listed in the trades minus the social security, medicare and local taxes as their is not a spot for those taxes. Well let me tell you when it asks if this income was accounted for in you w2 wages it makes a big difference on the amount of taxes paid wether you say yes or no ... lol
Trying to figure out what to do if I need to file an extension tomorrow if I don't get a updated form from either entity. How do I fudge this so my estimated taxes should be close to real?. I am thinking I am going to create a second W2 with the box 12V total compensation of the NQSOs and add up all the taxes up that were paid on the 4 trades. Not sure if thats the best thing to do and need some guidance. Any assistance would be greatly appreciated
