About 6 years ago in college, I created an LLC with a peer. We didn’t make money, didnt put our own money in the business, didn’t even have a bank account. All we did was work on our project. We figured out pretty soon that our idea wasn’t going to be successful so we decided to call it quits. I’m pretty positive I sent in paperwork to dissolve the LLC back in 2020.
I either didn’t, did it wrong, or it got lost in the mail because I’ve gotten this Final Notice Before Seizure from the state for unpaid taxes I guess.
I guess my question is, what will they do? Will they seize my personal assets? It’s odd that I have to pay for a business that never made or spent money.

You should contact the state at the number on the letter you received. Also, prior to calling that number, you can verify the number in Google to be sure it is a state letter and not a scam of any sort.
It is unlikely that they will seize your assets for failure to file if you were an LLC with absolutely no income. Do NOT ignore the letter, only the state can tell you what you would need to do and what they did or did not receive.
Thank you,
I called and they confirmed I dissolved the business but didn’t close the tax account. They simply voided everything that was due and closed the account. Problem solved
