Does selling you 401K shares for cash out count as selling stocks, bonds, mutual funds?

No, not for reporting it on your tax return.
Those transactions would not be reported on your return, only the Form 1099-R that shows the distribution that you received from the 401k as a result of the sale of the shares would be included on your tax return.
