Question

C-Corp created 12/5/2025 in CA - NO activity and dissolved immediately. No EIN ever issued.

Filed articles of incorporation with the state of CA on 12/5/2025 in error. 

I never got a EIN nor did anything else.

I never needed the business- needless to say no activity occurred.

Dissolved with the state of CA already. 

Form 1120 CANNOT be filed electronically without a EIN# which I dont have. 

Any advice on how to handle this? 

Is this a C-Corp as it stands today? Do I need to file the return for 2025 and 2026? 

The return will have all 0's

According to the IRS Instructions for Form 1120 Who Must FIle: "Unless exempt under section 501, all domestic corporations (including corporations in bankruptcy) must file an income tax return whether or not they have taxable income. Domestic corporations must file Form 1120, unless they are required, or elect to file a special return."

 

Since you must have an EIN in order to file Form 1120, you will need to obtain an EIN before you can file. You can apply and receive an EIN immediately here: IRS Get an EIN.
